The warning runs from 4am to 10pm on Thursday, and forecasters predict that an area of persistent and heavy rain is expected to develop across northern England and Wales.
This means spray and flooding is possible on roads, bus and train times could be affected and there could be some interruption to power supplies.
Meanwhile the Met Office warns that flooding of a few homes and businesses is likely.
Another yellow warning for wind is in place from 6pm on Thursday until 9am on Friday.
